TERMS OF SERVICE

Cobook is a multi-platform app that helps you manage your contacts and keep them up-to-date automatically. These Terms of Service (these “Terms”) explain how you can use the Cobook apps, websites, services and software (collectively “Service”), provided by Cobook SIA, (“Cobook,” “we” or “our”). They apply to all visitors, users and others who access the Service (“users”).

By using the Service you agree to be bound by these Terms and to the collection and use of your information as spelled out in our Privacy Policy. If you are using the Service on behalf of a group or organization, you agree to these Terms for that group or organization and represent that you have the authority to do so (in that case, “you” and “your” refers to that group or organization).

You must be at least 13 years of age to use the Service. If you do use the Service, you’re representing and warranting that you are 13 years of age or older and that you have the right, authority and capacity to enter agree to and abide by these Terms.

Third Party Account Information.

By signing into the Service through or linking your Cobook account to any Third Party Account (such as Facebook and Twitter), you permit us to access certain information from your profiles and profiles of individuals you are connected with on such sites for use by the Service. Still, you ultimately control how much information is accessible to us. When you use the Service, you are authorizing us to collect, store, and use, in accordance with our Privacy Policy, any information that you permit the third party websites (“Third Party Websites”) to provide to us and to access tokens made available by those Third Party Websites.

Third Party Websites.

As noted above, the Service contains links to Third Party Websites that are not owned or controlled by Cobook. When you access Third Party Websites, you do so at your own risk. You hereby represent and warrant that you have read and agree to be bound by all applicable policies of any Third Party Websites and that you will act in accordance with those policies, in addition to your obligations under these Terms. Cobook has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, or practices of any Third Party Websites. In addition, Cobook will not and cannot monitor, verify, censor or edit the content of any Third Party Website. Any information contained in the content or data from a Third Party Website may be inaccurate or misleading and should not be relied upon. This content and data may become temporarily or permanently unavailable and/or may be subject to change without notice. By using the Service, you expressly release and hold harmless Cobook from any and all liability arising from your use of any Third Party Website.

Code of Conduct.

By accessing the Service, you agree that you will not contribute any content or otherwise use the Service in a manner that: (i) infringes or violates the intellectual property rights or proprietary rights, rights of publicity or privacy, or other rights of any third party; (ii) violates any law, statute, ordinance or regulation; (iii) is harmful, fraudulent, deceptive, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or otherwise objectionable; (iv) involves commercial activities and/or sales without Cobook’s prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes; (v) impersonates any person or entity, including without limitation any employee or representative of Cobook; (vi) contains a virus, trojan horse, worm, time bomb, or other harmful computer code, file, or program; (vii) uses any manual or automated software, devices, or other processes to “crawl,” “scrape,” or “spider” any page of the Service or (viii) attempts to decompile, reverse engineer, or otherwise attempt to obtain the source code of the Service. Cobook may change, suspend or discontinue the Service at any time, including the availability of any feature, database, or Content at any time, for any reason or for no reason at all. Cobook may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability.

Ownership.

We and our licensors own and retain all proprietary rights in the Service – that means we own all the non-user and third-party generated content you see on the Service. The Service may contain the copyrighted material (such as text, graphics, photographs, images, and illustrations), trademarks, and other proprietary information of us and our licensors (the “Content”). Except for Content that is in the public domain or for which permission has been provided, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any Content. Content and the Service are protected by copyright as collective works and/or compilations, pursuant to E.U. copyright laws, international conventions, and other copyright laws.

Use License.

Subject to these Terms and for the sole and limited purpose of facilitating your use of the Service, we grant to you a limited, revocable, personal, non-commercial, non-exclusive license to (i) access and use the Service (including the Content contained therein), and (ii) install, access and use the Application on a mobile device owned by you.

Third Party and User Content.

You acknowledge and agree that if you contribute any content to the Service (such as your profile information, etc.) (“User Content”), you hereby do and shall grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable right to use, modify, reproduce, distribute, prepare derivative works of, and display such User Content (including all related intellectual property rights) solely as necessary to provide the Service to you. You also grant us a non-exclusive, worldwide, royalty free, perpetual, irrevocable, sublicenseable and transferable right to use, modify, reproduce, distribute, prepare derivative works of, and display the information from your Third Party Accounts that you link to Cobook in connection with the Service. Cobook will only share your personally identifiable information in accordance with Cobook’s Privacy Policy.

Changes.

Cobook reserves the right, at its sole discretion, to modify or replace any part of these Terms. It is your responsibility to check this Agreement periodically for changes. Your continued use of or access to the Website following the posting of any changes to this Agreement constitutes acceptance of those changes. Cobook may also, in the future, offer new features through the Service. Such new features shall be subject to the terms and conditions of these Terms.

Termination.

Cobook may terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately. If you wish to terminate this Agreement or your WordPress.com account (if you have one), you may simply discontinue using the Website. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Disclaimer of Warranties.

The Service is provided “as is”. Cobook and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither Cobook nor its suppliers and licensors, makes any warranty that the Service will be error free or that access thereto will be continuous or uninterrupted. If you’re actually reading this, here’s a treat. You understand that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.

Limitation of Liability.

In no event will Cobook, or its suppliers or licensors, be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to Cobook under this agreement during the twelve (12) month period prior to the cause of action. Cobook shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.

General Representation and Warranty.

You represent and warrant that (i) your use of the Service will be in strict accordance with the Cobook Privacy Policy, with these Terms and with all applicable laws and regulations and (ii) your use of the Service will not infringe or misappropriate the intellectual property rights of any third party.

Indemnification.

You agree to indemnify and hold harmless Cobook, its contractors, and its licensors, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Website, including but not limited to your violation of these Terms.

Severability.

If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

Survival.

Even after your access to the Service is terminated, or your use of the Service discontinues, these Terms will remain in effect. All terms that by their nature may survive termination of these Terms shall be deemed to survive such termination.

Waiver.

Our failure to enforce any part of these Terms shall not constitute a waiver of our right to later enforce that or any other part of these Terms. Waiver of compliance in any particular instance does not mean that we will do so in the future. In order for any waiver of compliance with these Terms to be binding, we must provide you with written notice of such waiver, provided by one of our authorized representatives.

Governing Law

Any claim relating to the Service shall be governed by the laws of Latvia.
